Earnings season: four weeks that move US stocks most

Four times a year, roughly 3,000 US listed companies report results in a dense few weeks. Those weeks explain most of the year's price action.

Companies whose results beat expectations re-rate higher within hours; those that miss can lose double digits overnight, regardless of how good the business looked a week earlier. If you buy US stocks from abroad, earnings dates matter even more than usual, because extended-hours gaps are large and your platform keeps pricing the asset while you sleep.

Track upcoming dates before you size a position, and keep leverage low into reports.

10-Q, 10-K and 8-K: what each filing actually is

US companies report through a small number of standard forms filed with the SEC. Knowing which one you are reading saves a lot of time.

Form 10-K: the annual report. Full business description, audited financials, risk factors, and management's own analysis of the year.

Form 10-Q: the quarterly report. Unaudited but detailed, covering the last three and nine months, plus any material changes since the last annual filing.

Form 8-K: the current report. Filed for unscheduled material events such as guidance changes, acquisitions, executive departures or restatements.

Form 4: insider transactions. Officers and directors must disclose buys and sells, usually within two business days.

The numbers that move the price

Revenue growth tells you whether demand exists, but the market reacts mostly to three things: whether revenue and earnings per share beat consensus, whether margins held, and what management says about the next quarter. Guidance routinely matters more than the reported quarter, because it resets the model everyone else is using.

Read the balance sheet too. A company can report record revenue while quietly building inventory, drawing down cash or issuing shares that dilute you.

Net cash versus net debt, free cash flow, and share count trend are the fastest checks available to a retail investor.

Reading the earnings call without getting fooled

The prepared remarks are marketing. The question-and-answer section is where analysts press management on the weak spots.

Listen for how often executives answer a direct question with a different topic, whether they quantify anything, and whether they talk about units sold or about adjusted metrics invented for the press release. Compare the adjusted number with the GAAP number.

If adjusted earnings look excellent while GAAP earnings are flat, the gap is usually stock-based compensation, amortisation or restructuring all of which are real costs, even if management prefers you ignore them.

A 15-minute filing routine for non-US investors

You do not need to read eighty pages. Open the press release for headline numbers and the guidance table, skim the 10-Q income statement and cash flow statement, then check the valuation against peers.

Fifteen minutes per company is enough to avoid most expensive mistakes. Two practical supports make this faster.

OurSEC filings feedcollects new 8-K, 10-Q and 10-K filings across all tracked tickers with plain-language summaries, and theinsider trading pageshows whether executives were buying into weakness or selling into strength.

Frequently Asked Questions

Do I need to read filings if I only hold ETFs

Less often. Index products diversify single-company risk away, so a quarterly read of index-level valuations and the macro backdrop is usually sufficient.

Why does a stock fall after beating estimates

Because consensus was already higher than the published estimate, because guidance came in light, or because the beat came from one-off items rather than operating performance.

Where do I find the guidance table

In the earnings press release, usually labelled outlook or second-half guidance, then repeated in the 8-K filed the same day.
